Terms and Conditions

This document is an electronic record in terms of Information Technology Act, 2000 and rules there under as applicable and the amended provisions pertaining to electronic records in various statutes as amended by the Information Technology Act, 2000.

These terms and conditions ("Terms and Conditions") contained herein, are between PRISHNI ____________ and you, (hereinafter referred to as "Educator", "Content Provider" or "End User" and together referred to as "Users"). By accessing our website __________________________("Website") and/or any of our Apps (jointly referred to as the "Platform"), you agree to be bound by the provisions of these Terms and Conditions.

Section 1: General

The Terms and Conditions, along with the Privacy Policy and all other legal policies made available or published on the Platform as they shall govern your use of the this Platform.

By using or visiting the Platform or any platform software, data feeds, and service provided to you on, from, or through this Platform, you signify your agreement to :

  • "Terms and Conditions",
  • Privacy Policy and any other terms that are updated from time to time. Incase you do not agree to any of these terms, do not use the this Platform.


  1. The domain name, Website and the Apps are owned, registered and operated by __________________________________________Private Limited, a private company incorporated under the (Indian) Companies Act, 2013, and having its registered office at____________________________________________, Bangalore 560 ____, Karnataka, India, (hereinafter referred to as "the Company").
  2. The tradename, logo, slogan are registered trademarks under the Trademarks Act 1999, owned by the Company.
  3. Application of Terms and Conditions: These Terms and Conditions apply to all Users of the Platform, including educators , content providers and also all contributors of User Content on the Platform. The Platform includes all aspects of the Website and Apps which includes but is not limited to products, software and service offered via the Platform, and ,any other service or application that the Platform introduces from time to time.
  4. The Platform is an online platform that supports and facilitates the online creation of educational videos/or tutorials/hobby/or art classes in diverse areas, by the Users of the Platform and acts as an intermediary between the educator/content provider and the End User. A User may create a video, audio clip or tutorial, by using the Platform. Such content uploaded through the use of the Platform shall hereinafter be referred to as "User Content". You agree and acknowledge that the Platform has no control over and assumes no responsibility for the User Content and by using the Platform, you expressly relieve the Platform from all liability arising from the User Content.
  5. The Platform may include or contain links to any third-party websites that may not be owned or controlled by the Company. The Platform has no control over, and assumes no responsibility for, the veracity of the content, privacy policies, cookies, or practices of any third-party websites. In addition, the Platform will not and cannot censor or edit the content of any third-party website. By using the Platform, you expressly relieve the Platform from any and all liability arising from your use of any third-party website or services. However, we recommend that before you use any third-party services or website you read and understand the terms and conditions and privacy policy of each such website that you visit.
  6. Subject to these Terms and Conditions, Privacy Policy and all other rules and policies made available or published elsewhere, the Platform hereby grants the you a non-exclusive, non-transferable, non-sub-licensable, limited license to use the Platform in accordance with these Terms and Conditions.

Section 2: Amendments

These Terms of Use are subject to modifications at any time. We reserve the right to modify or change these Terms of Use and other policies at any time by posting changes on the Platform, and you shall be liable to update yourself of such changes, if any, by accessing the changes on the Platform. You shall, at all times, be responsible for regularly reviewing the Terms of Use and the other policies and note the changes made on the Platform. Your continued usage of the services after any change is posted constitutes your acceptance of the amended Terms of Use and other policies. As long as you comply with these Terms of Use, the Platform grants you a personal, non-exclusive, non-transferable, limited privilege to access, enter, and use the Platform. By accepting these Terms of Use, you also accept and agree to be bound by the other terms and conditions and policies (including but not limited to Refund Policy and Privacy Policy, etc) as may be posted on the Platform from time to time. You agree and acknowledge that the Platform shall have the right at any time to change or discontinue any aspect or feature of the Platform, including, but not limited to, the User Content, hours of availability and equipment needed for access or use. Further, the platform may discontinue disseminating any portion of information or category of information may change or eliminate any transmission method and may change transmission speeds or other signal characteristics. The Platform reserves the right to refuse access to the Platform, terminate Accounts, remove or edit contents without any notice to You.

Section 3: Accounts

In order to access some of the features of the Platform, you may have to create your account with the Platform. You agree and confirm that you will never use another User's account nor provide access to your account to any third-party. When creating your account, you confirm that the information so provided is accurate and complete. Further, you agree that you are solely responsible for the activities that occur on your account, and you shall keep your account password secure and not share the same with anyone. You must notify the Platform immediately of any breach of security or unauthorized use of your account. At no point in time will the Platform be liable for any losses caused by any unauthorized use of your account, you shall solely be liable for the losses caused to the Platform or others due to such unauthorized use, if any.

The Platform takes no responsibility for any User Content that is uploaded on the Platform unless it is specified that the Platform has jointly developed content and the same is specifically stated in the course/module, and further, the User shall be solely responsible for his or her own actions in utilizing such User Content and availing the Platform provided herein.

Section 4: Access, Permissions and Restrictions

The Platform hereby grants you permission to access and use the Platform as set forth in these Terms and Conditions, provided that:

  1. You agree not to distribute in any medium any part of the Platform or the content without our prior written authorization.
  2. You agree not to alter or modify any part of the Platform.
  3. You agree not to access content of any other User through any technology or means other than the video playback pages of the Platform itself.

  4. You agree not to use the Platform for any of the following commercial uses unless you obtain the Company's prior written approval:

    1. the sale of access to the Platform;
    2. the sale of advertising, sponsorships, or promotions placed on or within the Platform or content; or
    3. the sale of advertising, sponsorships, or promotions on any page or website that provide similar content as the Platform .
    4. You agree to receive installs and updates from time to time from the Platform. These updates are designed to improve, enhance and further develop the Platform and may take the form of bug fixes, enhanced functions, new software modules and completely new versions. You agree to receive such updates (and permit the Platform to deliver these to you) as part of your use of the Platform.
    5. You agree not to use or launch any automated system, including without limitation, "robots," "spiders," or "offline readers," that accesses the Platform in a manner that sends more request messages to servers in a given period of time than a human can reasonably produce in the same period by using a conventional on-line web browser. Notwithstanding the foregoing, the Platform grants the operators of public search engines permission to use spiders to copy materials from the site for the sole purpose of and solely to the extent necessary for creating publicly available searchable indices of the materials, but not caches or archives of such materials. The Platform reserves the right to revoke these exceptions either generally or in specific cases at any time with or without providing any notice in this regard. You agree not to collect or harvest any personally identifiable information, including account names, from the Platform, nor to use the communication systems provided by the Platform (e.g., comments, email) for any commercial solicitation purposes. You agree not to solicit, for commercial purposes, any Users of the Platform with respect to User Content.
    6. You may post reviews, comments and other content; send other communications; and submit suggestions, ideas, comments, questions or other information as long as the content is not illegal, obscene, threatening, defamatory, invasive of privacy, infringement of intellectual property rights, or otherwise injurious to third parties or objectionable and does not consist of or contain software viruses, political campaigning, commercial solicitation, chain letters, mass mailings or any other form of spam. Further, you give the Platform limited, royalty free, worldwide, non-exclusive license to use the User Content and communication in developing its Platform and in any of its marketing or promotional activities.
    7. In your use of the Platform, you will at all times comply with all applicable laws and regulations.
    8. The Platform reserves the right to discontinue any aspect of the Platform at any time with or without notice at its sole discretion.

Section 5: Content Use

In addition to the general restrictions mentioned above, the following limitation and conditions shall apply to your use of the Content:

  1. The Content utilized on the Platform shall include but not be limited to trademarks, service marks and logos ("Marks"), process, images, software, graphics are owned by or licensed to the Platform and subject to copyright and other intellectual property rights under the law.
  2. User Content is provided to you on an AS IS basis. You may access Content for your information and personal use solely as intended through the provided functionality on the Platform and as permitted under these Terms and Conditions. You shall not download any User Content unless you see a "download" or similar link displayed by the App/Website on the Platform for that User Content. You shall not copy, reproduce, make available online or electronically transmit, publish, adapt, distribute, transmit, broadcast, display, sell, license, or otherwise exploit any User Content for any other purposes other than as provided herein without the prior written consent of the Platform or the respective licensors of the User Content. The Platform/Company and its licensors reserve all rights not expressly granted in and to the Platform and the User Content.
  3. You agree not to circumvent, disable or otherwise interfere with security-related features of the Platform or features that prevent or restrict use or copying of any User Content or enforce limitations on use of the Platform or the User Content therein.
  4. You understand that when using the Platform, you will be exposed to User Content from variety of sources and by different Users, and that is not responsible for the accuracy, usefulness, safety, or intellectual property rights of or relating to such User Content. You further understand and acknowledge that you may be exposed to User Content that is inaccurate, offensive, indecent, or objectionable, and you agree to waive, and hereby do waive, any legal or equitable rights or remedies you have or may have against the Platform with respect thereto, and, to the extent permitted by applicable law, agree to indemnify and hold harmless the Platform, its owners, operators, affiliates, licensors, and licensees to the fullest extent allowed by law regarding all matters related to your use of the Platform.

Section 6: Content and Conduct

  1. As a User, you may submit User Content on the the Platform, including videos and User comments. You understand that the Platform does not guarantee any confidentiality with respect to any User Content you submit.

  2. You shall be solely responsible for your own User Content and the consequences of submitting and publishing such User Content on the Platform. You affirm, represent, and warrant that you own or have the necessary licenses, rights, consents, and permissions to publish the User Content that you submit; and you grant limited license to the Platform to all patent, trademark, trade secret, copyright or other proprietary rights in and to such User Content for publication on the Platform pursuant to these Terms and Conditions for the duration the said User Content is available on the Platform.

  3. For clarity, you retain your ownership rights in your User Content unless a contract or Agreement to the contrary has been entered into by you with the Company. However, by submitting User Content to the Platform, you hereby grant the Platform a limited, worldwide, non-exclusive, royalty-free, sub-licenseable and transferable license to use, reproduce, distribute, display, publish, make available online or electronically transmit, the User Content in connection with the Platform (and its successors' and affiliates') business, including without limitation for promoting and redistributing part or all of the Platform in any media formats and through any media channels. You also hereby grant each User of the Platform a limited, non-exclusive license to access your User Content through the Platform. The above licenses granted by you in the User Content you submit to the Platform terminate within a commercially reasonable time (as per the specific Agreement) after you request the Platform to remove or delete your videos from the Platform provided you pay the mutually agreed amount that Platform incurred in providing the Platform to you. You understand and agree, however, that Platform may retain, but not display, distribute, or perform, server copies of your videos that have been removed or deleted. The above licenses granted by you in User comments and testimonial you submit are perpetual and irrevocable.

  4. You further agree that User Content you submit on the Platform will not contain third party copyrighted material, or material that is subject to other third party proprietary rights, unless you have permission from the rightful owner of the material or you are otherwise legally entitled to post the material and to grant the Platform all of the license rights granted herein.

  5. You agree, undertake and confirm that your use of Platform shall be strictly governed by the following binding principles:

    1. You shall not host, display, upload, download, modify, publish, transmit, update or share any information which:

      1. belongs to another person and which you do not have any right to;
      2. is grossly harmful, harassing, defamatory, obscene, pornographic, pedophilic, libelous, slanderous, criminally inciting or invasive of another's privacy, hateful, or racially, ethnically objectionable, disparaging, relating or encouraging money laundering or gambling, or otherwise unlawful in any manner whatsoever; or unlawfully threatening or unlawfully harassing including but not limited to "indecent representation of women" within the meaning of the Indecent Representation of Women (Prohibition) Act, 1986;
      3. is misleading or misrepresentative in any way;
      4. is patently offensive to the online community, such as sexually explicit content, or content that promotes obscenity, pedophilia, racism, bigotry, hatred or physical harm of any kind against any group or individual;
      5. harasses or advocates harassment of another person;
      6. involves the transmission of "junk mail", "chain letters", or unsolicited mass mailing or "spamming";
      7. promotes illegal activities or conduct that is abusive, threatening, obscene, defamatory or libelous;
      8. infringes upon or violates any third party's rights [including, but not limited to, intellectual property rights, rights of privacy (including without limitation unauthorized disclosure of a person's name, email address, physical address or phone number) or rights of publicity];
      9. promotes an illegal or unauthorized copy of another person's copyrighted work (see "copyright complaint" below for instructions on how to lodge a complaint about uploaded copyrighted material), such as providing pirated computer programs or links to them, providing information to circumvent manufacture-installed copy-protect devices, or providing pirated music or links to pirated music files;
      10. contains restricted or password-only access pages, or hidden pages or images (those not linked to or from another accessible page);
      11. provides material that exploits people in a sexual, violent or otherwise inappropriate manner or solicits personal information from anyone;
      12. provides instructional information about illegal activities such as making or buying illegal weapons, violating someone's privacy, or providing or creating computer viruses;
      13. contains video, photographs, or images of another person (with a minor or an adult);
      14. tries to gain unauthorized access or exceeds the scope of authorized access to the Platform or to profiles, blogs, communities, account information, bulletins, friend request, or other areas of the Platform or solicits passwords or personal identifying information for commercial or unlawful purposes from other users;
      15. engages in commercial activities and/or sales without our prior written consent such as contests, sweepstakes, barter, advertising and pyramid schemes, or the buying or selling of services related to the Platform. Throughout these Terms of Use, the Platform's prior written consent means a communication coming from the Platform's Legal Department, specifically in response to your request, and expressly addressing and allowing the activity or conduct for which you seek authorization;
      16. solicits gambling or engages in any gambling activity which is or could be construed as being illegal;
      17. interferes with another user's use and enjoyment of the Platform or any third party's user and enjoyment of similar services;
      18. refers to any website or URL that, in our sole discretion, contains material that is inappropriate for the Platform or any other website, contains content that would be prohibited or violates the letter or spirit of these Terms of Use;
      19. harm minors in any way;
      20. infringes any patent, trademark, copyright or other intellectual property rights or third party's trade secrets or rights of publicity or privacy or shall not be fraudulent or involve the sale of counterfeit or stolen products;
      21. violates any law for the time being in force;
      22. deceives or misleads the addressee/users about the origin of such messages or communicates any information which is grossly offensive or menacing in nature;
      23. impersonate another person;
      24. contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer resource; or contains any trojan horses, worms, time bombs, cancelbots, easter eggs or other computer programming routines that may damage, detrimentally interfere with, diminish value of, surreptitiously intercept or expropriate any system, data or personal information;
      25. threatens the unity, integrity, defence, security or sovereignty of India, friendly relations with foreign states, or public order or causes incitement to the commission of any criminal offence or prevents investigation of any offence or is insulting any other nation;
      26. is false, inaccurate or misleading;
      27. directly or indirectly, offers, attempts to offer, trades or attempts to trade in any item, the dealing of which is prohibited or restricted in any manner under the provisions of any applicable law, rule, regulation or guideline for the time being in force; or
      28. creates liability for us or causes us to lose (in whole or in part) the services of our internet service provider or other suppliers.


      You agree and understand that Platform reserves the right to remove and/or edit such detail/ information. If you come across any information as mentioned above on the Platform, you are requested to immediately contact our Grievance Redressal Officer at GRO@prishni.in.

    2. You shall not use any "deep-link", "page-scrape", "robot", "spider" or other automatic device, program, algorithm or methodology, or any similar or equivalent manual process, to access, acquire, copy or monitor any portion of the Platform or any Content, or in any way reproduce or circumvent the navigational structure or presentation of the Platform or any Content, to obtain or attempt to obtain any materials, documents or information through any means not purposely made available through the Platform. We reserve our right to prohibit any such activity.

    3. You shall not attempt to gain unauthorized access to any portion or feature of the Platform, or any other systems or networks connected to the Platform or to any server, computer, network, or to any of the services offered on or through the Platform, by hacking, "password mining" or any other illegitimate means.
    4. You shall not probe, scan or test the vulnerability of the Platform or any network connected to the Platform nor breach the security or authentication measures on the Platform or any network connected to the Platform. You may not reverse look-up, trace or seek to trace any information on any other user of or visitor to Platform, or any other user, including any account on the Platform not owned by you, to its source, or exploit the Platform or any service or information made available or offered by or through the Platform, in any way where the purpose is to reveal any information, including but not limited to personal identification or information, other than your own information, as provided for by the Platform.
    5. You shall not make any negative, denigrating or defamatory statement(s) or comment(s) about us or the brand name or domain name used by us including the name 'PRISHNI', or otherwise engage in any conduct or action that might tarnish the image or reputation, or otherwise tarnish or dilute any trade or service marks, trade name and/or goodwill associated with such trade or service marks, as may be owned or used by the Company. You agree that you will not take any action that imposes an unreasonable or disproportionately large load on the infrastructure of the Platform or systems or networks.
    6. You agree not to use any device, software or routine to interfere or attempt to interfere with the proper working of the Platform or any transaction being conducted on the Platform, or with any other person's use of the Platform.
    7. You may not forge headers or otherwise manipulate identifiers in order to disguise the origin of any message or transmittal you send to us on or through the Platform or any service offered on or through the Platform. You may not pretend that you are, or that you represent, someone else, or impersonate any other individual or entity.
    8. You may not use the Platform or any content on the Platform for any purpose that is unlawful or prohibited by these Terms of Use, or to solicit the performance of any illegal activity or other activity that infringes the rights of the Platform and/or others.
    9. You shall at all times ensure full compliance with the applicable provisions, as amended from time to time, of (a) the Information Technology Act, 2000 and the rules thereunder; (b) all applicable domestic laws, rules and regulations (including the provisions of any applicable exchange control laws or regulations in force); and (c) international laws, foreign exchange laws, statutes, ordinances and regulations (including, but not limited to goods and service tax, income tax, central excise, custom duty, local levies) regarding your use of our service and your listing, purchase, solicitation of offers to purchase, and sale of products or services. You shall not engage in any transaction in an item or service, which is prohibited by the provisions of any applicable law including exchange control laws or regulations for the time being in force.
    10. In order to allow us to use the information supplied by you, without violating your rights or any laws, you agree to grant us a non-exclusive, worldwide, perpetual, irrevocable, royalty-free, sub-licensable (through multiple tiers) right to exercise the copyright, publicity, database rights or any other rights you have in your Information, in any media now known or not currently known, with respect to your Information. We will only use your information in accordance with these Terms of Use and Privacy Policy applicable to use of the Platform.

  6. The Platform at its sole discretion may process any audio or audio-visual content uploaded by you to the Platform to confirm if the same is in accordance with the Platform's internal quality requirements and is compatible with the Platform.

  7. The Platform/Company does not endorse any User Content submitted on the Platform by any User or other licensor, or any opinion, recommendation, or advice expressed therein, and the Platform expressly disclaims any and all liability in connection with User Content. The Platform does not permit copyright infringing activities and infringement of intellectual property rights on the Platform, and it will remove all User Content if properly notified that such Content infringes on another's intellectual property rights. The Platform reserves the right to remove User Content without prior notice if it has reason to believe that the User Content infringes any copyright.

Section 7: Subscriptions

Please refer to Subscription terms and conditions to know more about the terms that shall govern your subscription. It is exclusive for the Users who have subscribed. You shall not give any unauthorized access or distribute or reproduce the User Content (as defined in the Subscription terms and conditions) to a third party.

In the event that the Platform becomes aware of any Users giving unauthorized access to any third party or distributing or reproducing any User Content to or any third-party channel or media, the Platform reserves the right to suspend or terminate the said User's account with immediate effect.

Section 8: Platform's Intellectual Property Right

The Platform, the processes, and their selection and arrangement, including but not limited to all text, graphics, User interfaces, visual interfaces, sounds and music (if any), artwork and computer code on the Platform is owned and controlled by the Company and the design, structure, selection, coordination, expression, look and feel and arrangement of such content mentioned hereinabove is protected by copyright, patent and trademark laws, and various other national and international IPR laws and regulations. For clarity, content in the above sentence shall not include User Content.

Unless otherwise indicated or anything contained to the contrary, or any proprietary material owned by a third-party and so expressly mentioned, the Company owns all IPR to and into the trademark_____________________________________________.

The mark _______________ ( hereinafter referred to as "Prishni Marks" )is the sole property of the Company. Reproduction in whole or in part of the same is strictly prohibited unless used with an express written permission from the Company.If you haven't received our permission, do not use the Prishni Marks as your own or in any manner that implies sponsorship or endorsement or any relation to the Platform.

A product or service branded with the Platform name or logo is a reflection of the Platform. Unless you are one of our licensees, we don't allow others to make, sell, or give away anything with our name or logo on it.

Section 9: Refunds

Please read the subscription terms and conditions carefully before subscribing to any of the subscription plans, as once you have subscribed you cannot change, cancel your subscription plan. Once you subscribe and make the required payment, it shall be final and there cannot be any changes or modifications to the same and neither will there be any refund.

Section 10: Electronic Communication

When you visit the Platform or send email to us, you are communicating with us electronically. By communicating with us, you consent to receive communication from us electronically. We will communicate with you by email or posting notices on the Platform. You agree that all agreements, notices, disclosures, disclaimers, offers and other communications that are provided to you electronically satisfy any legal requirement that such communication should be in writing.

Section 11: Temination of Accounts

  1. The Platform will terminate a Users access to the the Platform or parts of it thereof, if

    1. the User is a repeat copyright infringer;
    2. the User breaches any terms of these Terms and Conditions.
    3. Violation of any applicable laws;
    4. your use of the Platform disrupts our business operations or affects any other party/ User; or
    5. you have behaved in a way, which objectively could be regarded as inappropriate or unlawful or illegal or which would bring any claims against the Platform.
    6. The Platform reserves the right to decide whether User Content violates these Terms and Conditions for reasons other than copyright infringement, such as, but not limited to, pornography, obscenity, or excessive length or any other parameter that Platform deems fit from time to time. The Platform may at any time, without prior notice and in its sole discretion, remove such User Content and/or terminate a User's account for submitting such material in violation of these Terms and Conditions.
    7. We may suspend access to the Platforms or require You to change Your password if we reasonably believe that the Platforms have been or are likely to be misused, and we will notify You accordingly. Any termination of Your registration and/or Account or the Platforms will not affect liability previously incurred by You.

Section 12: Effective of Termination

In case any of the above-mentioned cases occur, the Platform reserves the right, in its sole discretion, to terminate or suspend the User's account with immediate effect. Upon suspension or termination of the User's account: 1. The Platform/Company shall at its sole discretion withhold or stop any and all payments that are to be made to such User and evaluate the pay-outs. Payments shall only be made for all legitimate work that is not subject matter of any violation or dispute. 2. Payments shall not be made for the work that is the subject matter of any of the breaches. 3. User access shall be terminated immediately, and the User shall not be able to access the said terminated account.

Section 13: Copyright Infringement

  1. The Platform/Company operates a clear copyright policy in relation to any User Content alleged to infringe the copyright of a third party.
  2. As part of its copyright policy, the Platform will terminate User access to the Platform if a User has been determined to be a repeat infringer. A repeat infringer is a User who has been notified of infringing activity more than twice.

  3. If you believe that your work has been copied in a way that constitutes copyright infringement, please refer to the instructions given in the copyright policy on how to make a claim of copyright infringement.

  4. Notice of Copyright Infringement:

    1. Pursuant to provisions of the Indian Copyright Act, 1952 read with the Information Technology Act of 2000, we an intermediary, allow general public to post content on our platform. We have implemented procedures for receiving written notification of claimed infringements on the User Content uploaded on the Platform. We have also designated an agent to receive notices of claimed copyright infringement. If you believe in good faith that your copyright has been infringed, you may provide us with a written communication which contains:

      1. An electronic or physical signature of the person authorized to act on behalf of the owner of the copyright interest;
      2. A description of the copyrighted work that you claim has been infringed upon;
      3. A description of where the material that you claim is infringing is located on the Platform, including the educator/content provider name, topic and any other detail identifying the infringing content;
      4. Your email address, your physical address and telephone number;
      5. A statement by you that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law; and
      6. A statement by you, made under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act on the copyright owner's behalf.

      Please note that by claiming copyright infringement you are initiating a legal process, kindly be sure to consider whether fair use, fair dealing, or a similar exception to copyright apply before you report.

    2. Our policy to deal with Copyright infringements: We follow a 3-strike policy- Three instances brought to our notice that are provided with all required supporting information will lead to the educator/content provider getting banned from the Platform. His/her right to any and all compensation or monetary benefit that he/she might be eligible for shall be revoked. The detailed process is as under:

      1. First case of violation- The infringing User Content is taken down and educator/content provider is given a warning and is suspended for a week from making any new courses.
      2. Second case of violation- The educator is suspended from making any more videos on the Platform for a month and all User Content that amount to copyright violations are brought down immediately.
      3. Third violation- The educator is banned from the Platform and will be unable to make any more courses/classes in the future.

The copyright in the User Content on the Platform are owned by educators, where the Platform is a limited license holder to publish the same on Prishni _______. The User Content is subject to the various Terms and Conditions and other policies as provided on the Platform, kindly ensure that you use the User Content only within the parameters as provided in the Terms. You are prohibited from using the User Content as your own without the prior permission of the content creator and the Platform.

Section 14: Confidentiality

You will not without obtaining prior written consent of the Platform, disclose to third party any Confidential Information (as defined below) that is disclosed to you during the term of your use of the Platform.

For the purpose of this clause Confidential Information shall include but shall not be limited to employee details, User list, business model, processes, ideas, concepts etc. relating to the Platform which are not available in the public domain. You acknowledge and agree that the Confidential Information so provided to you shall at all time be the property of the Platform and any breach of the same shall cause irreparable damage to us.

Section 15: Disclaimer

YOU AGREE THAT YOUR USE OF THE PLATFORM SHALL BE AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, THE PLATFORM AND COMPANY, ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS EXCLUDE ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE PLATFORM AND YOUR USE THEREOF. TO THE FULLEST EXTENT PERMITTED BY LAW, THE PLATFORM EXCLUDES ALL WARRANTIES, CONDITIONS, TERMS OR REPRESENTATIONS ABOUT THE ACCURACY OR COMPLETENESS OF THE USER CONTENT OR THE CONTENT OF ANY SITES SO LINKED AND ASSUMES NO LIABILITY OR RESPONSIBILITY FOR ANY (I) ERRORS, MISTAKES, OR INACCURACIES OF USER CONTENT OR ANY CONTENT ON THE PLATFORM, (II) PERSONAL INJURY OR PROPERTY DAMAGE, OF ANY NATURE WHATSOEVER, RESULTING FROM YOUR ACCESS TO AND USE OF THE PLATFORM, (III) ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SECURE SERVERS AND/OR ANY AND ALL PERSONAL INFORMATION AND/OR FINANCIAL INFORMATION STORED THEREIN, (IV) ANY INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM THE THE PLATFORM, (IV) ANY BUGS, VIRUSES, TROJAN HORSES, OR THE LIKE WHICH MAY BE TRANSMITTED TO OR THROUGH THE PLATFORM BY ANY THIRD PARTY, AND/OR (V) ANY ERRORS OR OMISSIONS IN ANY USER CONTENT OR ANY OTHER CONTENT OR FOR ANY LOSS OR DAMAGE OF ANY KIND INCURRED AS A RESULT OF THE USE OF ANY USER CONTENT OR ANY OTHER CONTENT THAT IS POSTED, EMAILED, TRANSMITTED, OR OTHERWISE MADE AVAILABLE VIA THE PLATFORM. THE PLATFORM DOES NOT WARRANT, ENDORSE, GUARANTEE, OR ASSUME RESPONSIBILITY FOR ANY USER CONTENT, THIRD PARTY ADVERTISEMENT CONTENT OFFERED BY A THIRD PARTY THROUGH THE PLATFORM OR ANY HYPERLINKED SERVICES OR FEATURED IN ANY BANNER OR OTHER ADVERTISING, AND THE PLATFORM WILL NOT BE A PARTY TO OR IN ANY WAY BE RESPONSIBLE FOR MONITORING ANY TRANSACTION BETWEEN YOU AND THIRD-PARTY PROVIDERS OF USER CONTENT OR SERVICES. AS WITH THE PURCHASE OF A SUBSCRIPTION OR SERVICE THROUGH ANY MEDIUM OR IN ANY ENVIRONMENT, YOU SHOULD USE YOUR BEST JUDGMENT AND EXERCISE CAUTION WHERE APPROPRIATE.

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL THE PLATFORM OR COMPANY, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS, BE LIABLE TO YOU FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, LOSSES OR EXPENSES OR CONSEQUENTIAL DAMAGES WHATSOEVER RESULTING FROM ANY (I) ERRORS, MISTAKES, OR INACCURACIES OF USER CONTENT OR ANY OTHER CONTENT AVAILABLE AT PRISHNI, (II) PERSONAL INJURY OR PROPERTY DAMAGE, OF ANY NATURE WHATSOEVER, RESULTING FROM YOUR ACCESS TO AND USE OF PRISHNI, (III) ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SECURE SERVERS AND/OR ANY AND ALL PERSONAL INFORMATION AND/OR FINANCIAL INFORMATION STORED THEREIN, (IV) ANY INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM PRISHNI, (IV) ANY BUGS, VIRUSES, TROJAN HORSES, OR THE LIKE, WHICH MAY BE TRANSMITTED TO OR THROUGH PRISHNI BY ANY THIRD PARTY, AND/OR (V) ANY ERRORS OR OMISSIONS IN ANY USER CONTENT OR ANY OTHER CONTENT OR FOR ANY LOSS OR DAMAGE OF ANY KIND INCURRED AS A RESULT OF YOUR USE OF ANY CONTENT POSTED, EMAILED, TRANSMITTED, OR OTHERWISE MADE AVAILABLE VIA PRISHNI, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT THE PLATFORM IS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

WE UNDERSTAND THAT, IN SOME JURISDICTIONS, WARRANTIES, DISCLAIMERS AND CONDITIONS MAY APPLY THAT CANNOT BE LEGALLY EXCLUDED, IF THAT IS TRUE IN YOUR JURISDICTION, THEN TO THE EXTENT PERMITTED BY LAW, THE PLATFORM LIMITS ITS LIABILITY FOR ANY CLAIMS UNDER THOSE WARRANTIES OR CONDITIONS TO SUPPLYING YOU THE PLATFORM AGAIN.

YOU SPECIFICALLY ACKNOWLEDGE THAT PLATFORM SHALL NOT BE LIABLE FOR USER CONTENT OR THE DEFAMATORY, OFFENSIVE, OR ILLEGAL CONDUCT OF ANY THIRD PARTY AND THAT THE RISK OF HARM OR DAMAGE FROM THE FOREGOING RESTS ENTIRELY WITH YOU.

THE PLATFORM IS CONTROLLED AND OFFERED BY THE COMPANY FROM ITS FACILITIES IN INDIA. THE COMPANY MAKES NO REPRESENTATIONS THAT THE PLATFORM IS APPROPRIATE OR AVAILABLE FOR USE IN OTHER LOCATIONS. THOSE WHO ACCESS OR USE THE PLATFORM FROM OTHER JURISDICTIONS DO SO AT THEIR OWN VOLITION AND ARE RESPONSIBLE FOR COMPLIANCE WITH LOCAL LAW.

Section 17: Indemnity

To the extent permitted by applicable law, you agree to defend, indemnify and hold harmless the Platform, its parent company, officers, directors, employees and agents, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees) arising from: (i) your use of and access to the Platform; (ii) your violation of any term of these Terms and Conditions; (iii) your violation of any third party right, including without limitation any copyright, property, or privacy right; (iv) any claim that your User Content caused damage to a third party; or (v) violation of any applicable laws. This defence and indemnification obligation will survive these Terms and Conditions and your use of the Platform.

Section 18: Eligibility to use and Acceptance of the Terms and Conditions

You affirm that you are either more than 18 years of age, or possess legal parental or guardian consent, and are fully able and competent to enter into the terms, conditions, obligations, affirmations, representations, and warranties set forth in these Terms and Conditions, and to abide by and comply with these Terms and Conditions. If you are under 18 years of age, then please talk to your parents or guardian before using the Platform.

The Company reserves the right to refuse access to use the Platforms to any Users or to suspend and/or terminate access granted to existing registered Users at any time without according any reasons for doing so.

We provide these Terms and Conditions with our Platform so that you know what terms apply to your use. You acknowledge that we have given you a reasonable opportunity to review these Terms and Conditions and that you have agreed to them. You agree and acknowledge that your use of the Platform is subject to the most current version of the Terms and Conditions made available on the Platform at the time of such use.

Section 19: Force Majeure

The Platform shall not be liable for failure to perform, or the delay in performance of, any of its obligations if, and to the extent that, such failure or delay is caused by events substantially beyond the its control, including but not limited to acts of God, acts of the public enemy or governmental body in its sovereign or contractual capacity, war, terrorism, floods, fire, strikes, epidemics, civil unrest or riots, power outage, and/or unusually severe weather.

Section 20: Information Technology Act

These Terms and Conditions are published in accordance with the provisions of Rule 3 (1) of the Information Technology (Intermediaries guidelines) Rules, 2011 that require publishing the rules and regulations, privacy policy and terms and conditions for access or usage of the Platform.

Your failure to comply with these terms may result in removal of your postings without prior notice to User. The IP address of all posts is recorded to aid in enforcing these conditions.

Other Laws:

Certain laws require to maintain data with respect to the Platform and other personal information in a prescribed format and the Platform will use all the information to the extent required in compliance with the applicable laws and as may be directed or amended from time to time.

Section 21: Governing Law and Jurisdiction

The Terms and Conditions are governed by and constructed in accordance with the laws of India, without reference to conflict of laws principles and you irrevocably and unconditionally submit to the exclusive jurisdiction of the courts located in Bangalore, Karnataka, India.

Section 22: General

If any part of these Terms and Conditions is unlawful, void or unenforceable, that part of will be deemed severable and will not affect the validity and enforceability of any remaining provisions. Any notice required to be given in connection with the Platform shall be in writing and sent to the registered office of the Platform. We do not guarantee continuous, uninterrupted or secure access to the Platform, and operation of the Platform may be interfered by numerous factors outside our control. Headings are for reference purpose only an on no way define, limit, construe or describe the scope or extent of such section. Out failure to act with respect to any breach by you or others does not waive our right to act with respect to subsequent or similar breaches.
